) - if those two conditions haven't been met I don't believe the business has any recourse since there is no contract express or implied (but its been a long time since I studied the Uniform Commercial Code - the UCC). I do believe I would put them on the ignore list unless they actually had my CC number and attempted to make a charge. In that case, I would contest the charge to the CC company.
In any case, they sound like a business to avoid at any cost.
I am not a lawyer either, but from what I recall of business law and the UCC, a contract is an offer and an acceptance, for valuable consideration (like money). It does not have to be in writing, and I do not believe consideration has to change hands for it to be binding. But hey, as you can see by my portrait avatar, I'm just a 11 pound Siamese cat, so what do I know.
